Adobe to Acquire Semrush in $1.9 Billion Deal
SAN JOSE, Calif. & BOSTON – Adobe has announced its plan to acquire Semrush Holdings, Inc., a leading brand visibility platform, in an all-cash transaction valued at $1.9 billion. The deal, which is set to close in the first half of 2026, will give Adobe access to Semrush’s powerful ability to enhance brand visibility through search engine optimization (SEO) and generative engine optimization (GEO) solutions.
Under the terms of the agreement, Adobe will purchase Semrush at a price of $12.00 per share, a premium of about 77.5% from its last closing price. The acquisition aims to strengthen Adobe’s digital marketing tools, especially as businesses increasingly rely on AI for consumer engagement.
Andrew Warden, Semrush’s chief marketing officer, expressed excitement about the acquisition on LinkedIn, stating that it forms a “winning combination” that will allow marketers to benefit from a unified brand visibility platform. He emphasized the importance of such offerings as consumers increasingly look to AI-driven platforms for information and purchasing decisions.
Adobe’s president of the Digital Experience Business, Anil Chakravarthy, stated that the partnership would reshape brand visibility in the face of generative AI, providing marketers with essential capabilities needed to drive visibility and customer engagement throughout various digital channels.
In its most recent earnings report, Semrush showcased impressive growth, with a 33% increase in annual recurring revenue, underscoring the demand for its services among major brands like Amazon and TikTok. The cooperation between Adobe and Semrush is anticipated to deliver a comprehensive solution to marketers, enhancing their understanding of brand representation across diverse platforms like AI search engines and traditional web searches.
Both companies’ boards have approved the acquisition, and Adobe has secured commitments from Semrush’s founders and stockholders, representing over 75% of Semrush’s voting power, to endorse the transaction. Legal advisors for the deal include Wachtell, Lipton, Rosen & Katz for Adobe and Centerview Partners for Semrush.
As generative AI continues to influence consumer behavior, marketers need to leverage tools like those offered by Semrush to maintain brand relevance. This acquisition is expected to enhance Adobe’s offerings and position it favorably within the rapidly evolving digital landscape.
