Lowe's Artisan Design Group Merger Announcement

DALLAS, Texas — Lowe's Companies, Inc. announced Monday that it has entered into a definitive agreement to acquire Artisan Design Group (ADG) for approximately $1.325 billion. The acquisition is expected to close in the second quarter of 2025, pending regulatory approvals.

ADG, based in Dallas, provides design, distribution, and installation services for residential interiors, specializing in flooring, cabinets, and countertops. The company is recognized as one of the leading firms in interior design in the United States, reporting a fiscal 2024 revenue of about $1.8 billion.

The deal aligns with Lowe’s strategy to enhance its offerings within the interior finishes market, estimated at around $50 billion. Marvin R. Ellison, Lowe’s chairman, president, and CEO, stated, “The acquisition of ADG allows us to build on our momentum with Pro planned spend and is expected to expand our total addressable market by approximately $50 billion.”

In addition, Steve Margolius, CEO of ADG, noted, “Our leading position in flooring, cabinets, and countertops, combined with Lowe’s scale and category breadth, will allow us to continue on our growth trajectory while providing an even more differentiated and comprehensive offering to the builders and property managers we’ve served today.”

ADG’s extensive network includes over 3,200 specialized installers servicing both single-family and multifamily builders across 18 states. This acquisition will fortify Lowe’s Pro segment and is expected to leverage the anticipated demand for new home construction, with an estimated 18 million homes needed in the U.S. by 2033.

Lowe’s plans to finance the acquisition using cash on hand, underscoring its robust liquidity position. The transaction, which will require customary closing conditions, is a strategic move to expand Lowe’s footprint within the builders and property management market.

According to industry projections, new home construction is poised to be a major driver over the next decade, providing a significant opportunity for Lowe’s to capture a larger share of builder spend during this extended construction cycle.

This acquisition is seen as a pivotal step for Lowe’s as it seeks to bolster its competitive position among builder-direct supply channels, granting immediate access to established relationships with key customer segments that typically engage in large-volume purchases.
